Overview

The Associate General Counsel, Head of Risk and Compliance is responsible for developing, implementing, and overseeing the legal support function and risk management and compliance programs across Artex companies. This role ensures that these entities adhere to all regulatory requirements and internal policies, while also identifying, assessing, and mitigating potential legal and compliance risks to the organization.

 

Location: Rolling Meadows, IL (Global Headquarters) / Chicago, IL / Remote: U.S.


How you'll make an impact

Legal Oversight:

  • Mergers & Acquisitions
    • Ensure that legal and compliance due diligence are carried out and that transactions are properly approved within the governance structure and integrated.
  • Contracts
    • Ensure that commercial contracts, client service agreements and reinsurance agreements are properly negotiated within the business’ risk tolerances.
  • Litigation & Disputes
    • Assist centralized resources in the management of commercial litigation and disputes, including errors and omissions claims and engage with outside counsel where appropriate.
  • Employment
    • Manage internal investigations and assist centralized resources with disputes with current and former employees.

Compliance Oversight:

  • Ensure Artex complies with all relevant laws, regulations, and internal policies.
  • Develop and implement compliance programs and training for employees in line with global standards.
  • Conduct or oversee regular audits to ensure adherence to compliance standards.
  • Monitor and report on whether Artex business units’ activities, risk exposures and operations are performing within the group policies, risk appetite and controls.
  • Investigate and assist in the resolution of internal compliance issues and breaches and those involving Artex clients.
  • Manage local compliance resources and liaise with regulatory bodies to ensure timely and accurate reporting.

Risk Management Oversight:

  • Understand Artex’ strategic objectives and business plans to inform the risk implications.
  • Develop and implement effective risk management strategies and processes in line with global standards.
  • Conduct risk assessments and identify potential risks that could affect the organization.
  • Monitor and report on risk exposure and risk mitigation activities across all areas of Artex
  • Collaborate with various departments to ensure risk management practices are integrated into business processes.
  • Maintain and update risk registers and ensure all risks are documented and managed appropriately.

Policy Development:

  • Develop and update risk management and compliance policies and procedures.
  • Ensure policies are communicated effectively across the organization.
  • Provide guidance and support to employees on risk and compliance matters.

Reporting:

  • Prepare and present regular reports on risk and compliance activities to senior management.
  • Maintain accurate records of all risk and compliance activities.

Training and Awareness:

  • Develop and deliver training programs for corporate and divisional compliance policies and initiatives to enhance risk and compliance awareness among employees.
  • Promote a culture of risk awareness and compliance throughout the organization.

About You

Qualifications & Skills Required:

  • J.D. with proven academic success and must be licensed to practice law in the United States.
  • Minimum of 10 years of experience in legal, risk management, compliance, or a related field.
  • Strong knowledge of regulatory requirements and industry standards.
  • Excellent analytical, problem-solving, and decision-making skills.
  • Strong communication and interpersonal skills, including the ability to clearly and concisely articulate complex legal concepts to a lay audience.
  • Ability to work independently and as part of a team and demonstrate strategic, process and solutions-oriented critical thinking and value-add at executive committee level.
